摘要
经理制度对于完善现代公司治理结构具有十分重要的作用,而经理权是经理制度的核心要素。在所有权和经营权分离的公司治理模式下,经理滥权损害公司所有者权益的事件时有发生,公司的代理成本和代理风险也随之升高。本文通过剖析经理权的性质,廓清了经理在公司内部治理结构中的法律地位,分析了经理权的实现路径及运行规则,对比相关国家立法并结合我国实际提出了规范构想,以期通过对经理权的规制完善我国的经理制度。
The manager system plays a very important role in improving the modern corporate governance structure,and the manager right is the core element of the manager system.Under the corporate governance mode of separation of ownership and management,the manager’s abuse of power damages the owner’s rights and interests of the company from time to time,and the agency cost and agency risk of the company increase accordingly.By analyzing the nature of manager’s power,this paper clarifies the legal status of manager in the company’s internal governance structure,analyzes the realization path and operation rules of manager’s power,compares with the mainstream national legislation and combines with the reality of our country,and puts forward the concept of standardization,in order to improve our manager system through the regulation of manager’s power.
