摘要
民法与商法的复杂关系是伴随商品经济发展以及社会权力结构变化演变形成的。民法是私法的基本法,商法是具有相对独立性扮演"拓荒者角色"的私法特别法。商事法律规范体系化包括民法总则抽象民商事法律关系共性、商法总则或商事通则抽象商事法律关系共性和商事单行立法具体规定三个层面。在民法总则的设计中应当采用列举式的方式对民事权利主体、客体、行为等规则进行完善,并增加商法总论或商事通则一章,增强民法总则的商法元素。
The legislature of China has started compiling the civil code.A great deal of attention has been paid to how to understand the relationship between the civil law and the commercial law,and to compiling a civil code which includes the commercial transaction rules.The formation of the complicated relationship between the civil law and the commercial law has been accompanied by the development of commodity economy and the changes in social power structure.The civil law is the basic law for private law,and the commercial law is the special private law which is relatively independent and plays a pioneer role.The system of commercial law includes the general rules of civil law,the general rules of commercial law and the specific commercial provisions.We should improve the rules about the subject,the object and the related behaviors in the general rules of civil law by enumerating the rules,and add a chapter concerning the general rules of commercial law to increase the commercial elements in the law.
