摘要
近年来,随着经济的持续增长,中国企业的海外并购活动日趋活跃,并呈现出新的特征与趋势。通过对2005—2009年对外经济贸易大学跨国并购研究中心"跨国并购与绩效评估数据库"中141起海外并购案例的深入分析,结合联合国贸发会议和我国商务部的相关数据,探讨了中国企业海外并购的主要特征与趋势,指出了并购中存在的相关问题,力求挖掘中国企业海外并购过程的内在规律。在分析的基础上,从政府政策与企业整合等方面就如何促进中国企业海外并购进程提出了相应的对策与建议。
With the continuous growth of China＇s economy,there is an increasingly developmental trend to the overseas MA by Chinese enterprises in the recent few years with some new characteristics coming out.Based on the 141 cases of overseas MA in the ＂cross-border MA and performance measurement database＂ provided by UIBE（University of International Business and Economics） cross-border MA research center as well as related data from UNCTAD and Chinese Commerce Ministry,the main characteristics and the tendency to merge and acquire overseas enterprises are discussed in depth.Meanwhile,the problems found in the process of acquisition are explored profoundly so as to find out the inherent rules of such MA.Then,some countermeasures are suggested for formulating relevant government policies to accelerate Chinese enterprise＇s overseas MA.
